ARTICLE 1 – IDENTITY OF THE ENTREPRENEUR

ARTICLE 2 – APPLICABILITY AND SCOPE
2.1 These Terms of Service apply to every offer made by EBC Commerce, trading as mellowsheets, and to every agreement concluded between mellowsheets and a Consumer through the website.
These Terms apply to consumers worldwide, including consumers located in the Netherlands, Belgium, Germany, France, Italy, Spain, Ireland, Sweden, Norway, Denmark, Finland, the United Kingdom, Canada and Australia.
2.2 B2B Exclusion: These Terms are intended for consumers, meaning natural persons acting for purposes outside their trade, business, craft or profession. Where a customer acts as a business, statutory consumer rights such as the consumer right of withdrawal may not apply.
2.3 Mandatory Law: If any provision of these Terms conflicts with mandatory consumer protection law applicable in the Consumer's country of residence, that mandatory law shall prevail. All remaining provisions remain in full force and effect.
ARTICLE 3 – THE OFFER AND THE AGREEMENT
3.1 Price Transparency: Product prices are displayed in the currency indicated on the website.
Where required by applicable law, prices displayed to consumers include applicable VAT or other sales taxes.
Any import duties, customs charges or additional taxes that may apply are governed by Article 4 of these Terms.
3.2 Formation: An agreement is concluded when the Consumer places an order through the website and the payment is successfully processed, subject to any mandatory rules requiring further acceptance by the seller.
mellowsheets reserves the right to cancel an order in circumstances including stock shortages, suspected fraud, technical errors or manifest pricing errors. Where an order is cancelled, any payment already received for that order will be refunded.
3.3 Manifest Errors: mellowsheets is not bound by an obvious pricing, description or technical error where the Consumer knew or reasonably should have understood that the information was incorrect.
ARTICLE 4 – INTERNATIONAL LOGISTICS AND TAXES
4.1 Shipping Origin: Products may be shipped from international distribution or fulfilment centres, including locations outside the Consumer's country or region.
The exact shipping origin may vary depending on stock availability, destination and fulfilment requirements.
4.2 Import Duties and Taxes: Taxes may be collected at checkout where required or permitted under applicable tax schemes.
Where import duties, customs charges, handling fees or additional taxes are not collected at checkout, these may become payable upon importation or delivery in accordance with the laws of the destination country.
Where legally applicable, the Consumer may be responsible for such charges.
4.3 Refused or Uncollected Shipments: Where a shipment is refused, not collected from a collection point or returned because the Consumer failed to fulfil applicable import or delivery requirements, mellowsheets may deduct reasonable and demonstrable direct costs associated with the return from any refund, to the extent permitted by applicable law.
ARTICLE 5 – WITHDRAWAL AND RETURN POLICY
5.1 Statutory Cooling-Off Period: Consumers in the European Union, European Economic Area and United Kingdom generally have the right to withdraw from an eligible online purchase within 14 days after receiving the goods, without providing a reason.
Consumers outside these regions are provided a 14-day withdrawal period where offered by mellowsheets, unless applicable local law provides the Consumer with additional rights.
Mandatory statutory consumer rights always remain unaffected.
5.2 Return Location and Costs: Unless otherwise required by applicable law or agreed by mellowsheets, the Consumer is responsible for the direct cost of returning products when exercising the right of withdrawal.
The designated return address may differ from the original shipping location and may be located internationally.
Consumers should contact mellowsheets before returning a product to obtain the correct return instructions and return address.
5.3 Proof of Return: Consumers are strongly advised to use a tracked shipping service and retain proof of shipment until the return has been processed.
Where permitted by applicable law, mellowsheets may request reasonable evidence that returned goods have been dispatched.
5.4 Exclusions: The right of withdrawal may not apply to products excluded under applicable consumer law, including, where legally applicable:

goods made to the Consumer's specifications or clearly personalised;

sealed goods that are not suitable for return for health protection or hygiene reasons where the seal has been broken after delivery;

other goods specifically excluded from statutory withdrawal rights.
These exclusions only apply where permitted by applicable law.
5.5 Withdrawal Notification: To exercise a statutory right of withdrawal, the Consumer must provide mellowsheets with a clear statement communicating the decision to withdraw from the agreement.
Consumers may use any statutory model withdrawal form made available on the website but are not required to do so where applicable law permits another clear method of notification.
ARTICLE 6 – STATUTORY WARRANTY AND CONFORMITY
6.1 European Union: Products sold to EU consumers are covered by applicable statutory conformity rights.
EU consumers generally benefit from a minimum two-year legal guarantee for goods that are faulty, defective or do not conform to the agreement. National laws may provide additional or longer protection.
6.2 Spain: Consumers in Spain benefit from the statutory conformity period applicable under Spanish consumer law, including the three-year statutory period applicable to qualifying new goods.
6.3 France: Consumers in France retain their rights under the garantie légale de conformité and applicable rules concerning hidden defects (vices cachés).
6.4 Australia: Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot legally be excluded under the Australian Consumer Law.
6.5 Ireland: Consumers in Ireland retain all statutory rights under the Consumer Rights Act 2022 and other applicable Irish consumer legislation, including applicable rights relating to faulty or non-conforming goods.
6.6 United Kingdom: Consumers in the United Kingdom retain their statutory rights under the Consumer Rights Act 2015 and other applicable UK consumer legislation.
For qualifying faulty goods, a short-term right to reject may apply within 30 days of delivery, subject to the requirements of applicable law.
ARTICLE 7 – PAYMENT AND FRAUD PREVENTION
7.1 Retention of Title: To the extent permitted by applicable law, ownership of goods remains with EBC Commerce until the full purchase price has been paid.
7.2 Fraud and Chargebacks: mellowsheets reserves the right to investigate suspected fraudulent transactions and disputed payments.
Where a chargeback or payment dispute is demonstrably fraudulent or abusive, mellowsheets reserves the right to provide relevant evidence to payment providers and to pursue lawful recovery methods where appropriate.
Nothing in this Article limits a Consumer's lawful right to dispute an unauthorised, fraudulent or incorrect transaction.
ARTICLE 8 – COMPLAINTS AND DISPUTE RESOLUTION
8.1 Complaints: Complaints concerning an order, product or the performance of an agreement should be submitted clearly and completely to:

Consumers are encouraged to contact mellowsheets within a reasonable period after discovering the issue so that the matter can be investigated.
8.2 Alternative Dispute Resolution: Where applicable, Consumers may have access to recognised consumer dispute resolution bodies or other alternative dispute resolution procedures in their country.
The European Union's former Online Dispute Resolution (ODR) Platform was discontinued on 20 July 2025 and is therefore no longer listed as a dispute resolution channel in these Terms.
8.3 Country-Specific Bodies: Depending on the Consumer's country and the nature of the dispute, statutory or recognised consumer dispute resolution organisations may be available.
Nothing in these Terms prevents a Consumer from contacting a competent consumer protection authority or exercising any mandatory legal remedy available under applicable law.
ARTICLE 9 – GOVERNING LAW AND COUNTRY-SPECIFIC PROVISIONS
9.1 Governing Law: These Terms and agreements concluded with EBC Commerce are governed by the laws of The Netherlands.
This choice of law does not deprive Consumers residing in another country of mandatory consumer protection rights granted to them under the laws that would otherwise apply.
9.2 Canada: Canadian Consumers retain all non-excludable rights available under applicable federal and provincial consumer protection legislation.
Where mandatory language requirements apply, mellowsheets will comply with those requirements to the extent required by law.
9.3 Italy: Any provisions requiring specific acceptance under applicable Italian law will apply only to the extent legally valid and enforceable.
Nothing in these Terms limits mandatory rights available to Consumers in Italy.
9.4 Finland: Consumers in Finland will only be required to bear return shipping costs where this has been properly disclosed in advance and where such costs may legally be imposed on the Consumer.
9.5 Collective Proceedings: Nothing in these Terms restricts a Consumer's ability to participate in collective, representative or class proceedings where such a restriction would be prohibited or unenforceable under applicable law.
ARTICLE 10 – PRIVACY AND PERSONAL DATA
10.1 Personal data collected through mellowsheets is processed in accordance with the Privacy Policy available on the website and applicable data protection legislation.
For Consumers in the European Union, this includes the General Data Protection Regulation (GDPR) and applicable Dutch data protection legislation.
Where mellowsheets processes personal data relating to Consumers in other jurisdictions, applicable privacy legislation will be observed to the extent required.
Marketing communications will be sent in accordance with applicable consent and electronic marketing requirements.
ARTICLE 11 – AMENDMENTS
11.1 EBC Commerce reserves the right to update or amend these Terms from time to time.
The version applicable to an order is generally the version that was in effect when the order was placed, unless mandatory law requires otherwise.
Any material changes affecting future purchases will take effect after publication on the website or on any later effective date specified by mellowsheets.
Changes to these Terms will not retroactively reduce statutory rights attached to an order that has already been concluded.
